We focus on reimbursement matters, bad faith litigation/coverage disputes, health care malpractice, health care compliance litigation and investigations, managed care cases, health care-related collection cases brought both under ERISA and state law, general commercial litigation and business disputes, construction defect litigation, premises liability litigation, toxic exposure cases, and catastrophic injury litigation. 

We assist our clients with the formation and structure of businesses. We file formation documents with the appropriate Secretary of State as well as assist with business structuring and operating agreements, bylaws, partnership, company, operating and joint venture agreements.

We advise our clients on a variety of transactions, including asset purchases and equity purchases.  We regularly assist our clients in physician practice purchases/sales, home health agency purchases/sales, hospital and surgery center purchases/sales and freestanding emergency room purchases/sales.  Such experience also includes filing appropriate notices, changes of ownership and changes of information with Medicare and other regulatory agencies.   

Our attorneys often advise clients on their real estate leases, as well as assist on real estate transactions.

We routinely draft employment agreements, operating agreements, partnership agreements, stock purchase agreements, asset purchase agreements, management agreements, medical director agreements, services agreements, space leases, equipment leases and most other agreements that a healthcare provider may need. 

Our team is experienced in corporate governance matters, including advising boards of directors, compliance monitoring, equity incentive plan administration, drafting resolutions, performing corporate secretarial functions, keeping minute books, and recording minutes.
